Terms of Service

2.1 Eligibility Requirements

To use our Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using our Services under applicable laws
• Provide accurate and complete registration information
• Maintain a valid bank account or mobile money account

2.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Using strong passwords and enabling multi-factor authentication

2.3 Verification

We may require identity verification before you can access certain features. You agree to provide accurate documentation and information as requested. Failure to complete verification may result in account suspension or termination.

3.1 How Circles Work

Savings circles are rotating savings and credit associations (ROSCAs) where members make regular contributions and take turns receiving payouts. By joining a circle, you agree to:

• Make timely contributions according to the circle schedule
• Adhere to the circle rules and payment terms
• Communicate respectfully with other circle members
• Honor your commitments even if you've received your payout

3.2 Payment Obligations

All contributions are legally binding obligations. Late or missed payments may result in:

• Late fees and penalties
• Negative impact on your standing within your group
• Removal from the circle
• Legal action to recover owed amounts
• Restriction from joining future circles

3.3 Fees

Any fees that apply to a circle are shown clearly before you confirm a contribution or withdrawal, with no hidden charges. The current fee schedule is published on our Pricing page. Network charges from mobile-money or card providers, where they apply, are shown separately.

3.4 Early Exit

You may request early exit from a circle with 30 days notice, subject to:

• Payment of an early exit fee (typically 10% of remaining contributions)
• Approval from other circle members (for some circle types)
• Negative impact on your reputation score
• Potential restrictions on future circle participation

4.1 Points & perks

Early and active members can earn points, for joining the waitlist, referring others, and taking part in the community. Points may unlock founding-member perks at launch, such as early access and recognition.

4.2 No cash value

Points and perks are promotional only. They are not money, not securities, and have no cash redemption value. We may change or end the rewards programme at any time, and the perks available at launch will be confirmed before launch.

6.1 Our Right to Suspend or Terminate

We may suspend or terminate your account if:

• You violate these Terms of Service
• You engage in fraudulent or illegal activities
• You fail to make required payments
• You provide false information
• Required by law or regulatory authorities

6.2 Your Right to Terminate

You may terminate your account at any time, subject to fulfilling all outstanding circle obligations and payment commitments. Some information may be retained as required by law.

6.3 Effect of Termination

Upon termination:

• You lose access to all Services and account features
• Outstanding payment obligations remain enforceable
• Any points or founding-member perks may become inaccessible
• We may retain certain information as required by law

7.1 Service "As Is"

Our Services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee uninterrupted, error-free, or secure access.

7.2 Not Financial Advice

Information provided through our Services is for informational purposes only and does not constitute financial or legal advice. Consult professionals before making financial decisions.

7.3 Limitation of Liability

To the maximum extent permitted by law, Ntoboa and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangibles, arising from your use of our Services.

7.4 Third-Party Actions

We are not responsible for the actions or omissions of other circle members, payment processors, banks, or other third parties.

9.1 Informal Resolution

Before pursuing formal dispute resolution, you agree to first contact us at support@ntoboa.com to seek an informal resolution.

9.2 Arbitration

Any disputes arising from these Terms or use of our Services shall be resolved through binding arbitration in accordance with the laws of Ghana, except where prohibited by law.

9.3 Class Action Waiver

You agree to bring claims only in your individual capacity and not as part of any class or representative action.

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ghana.

10.2 Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or platform notification. Continued use after changes constitutes acceptance of modified Terms.

10.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

10.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ntoboa regarding the Services.
